1. About these terms
These terms are an agreement between you and [Flendy legal entity name] (“Flendy”, “we”, “us”). They apply when you use flendy.co as a brand, an agency, a member of a brand’s team, or a visitor. 2. What Flendy does
Flendy is a marketplace and set of tools for creator marketing. Brands use it to find creators, run campaigns and pay for results. There are four campaign types:
- Views and clipping: creators post from their own connected accounts and you pay a published rate for every 1,000 verified views, up to the campaign’s view target.
- Creator collabs: you agree a fee with a creator for agreed posts.
- UGC: you agree a fee for content the creator makes for you to post or run as ads, with usage rights for a set period.
- Product seeding: you send products to creators, with or without a fee.
Affiliate links, discount codes and ad codes (whitelisting) can be added to a campaign. Flendy isn’t the creator’s employer or agent and doesn’t make the content; creators are independent. We run the platform, count verified views, hold the campaign budget and pay creators for you.
3. Accounts, workspaces and teams
- You must be 18 or over and give accurate details. Keep your sign-in secure; you’re responsible for what happens under your account.
- A workspace is your company or agency. It holds one or more brands. The workspace owner decides who joins, each person’s role, which brands they can reach and any spend limit. You’re responsible for the people you invite and what they do.
- Agencies running brands for clients confirm they have the client’s authority to do so, including to spend the client’s money and share its materials. A client can be given its own access or approve through an approval link.
- We may ask you to verify your business (for example your CAC registration and website) before you launch campaigns above a set size, and we may show a verified badge once you have.
4. Wallet and top-ups
- Each brand has a wallet in naira. You top it up by card, by bank transfer to the brand’s own transfer account, or, if we’ve agreed it with you, by invoice. Card and transfer payments are processed by Paystack.
- A top-up is credited when the payment is confirmed. Every top-up gets a receipt.
- Wallet money isn’t a bank deposit, doesn’t earn interest and can only be used on Flendy or withdrawn as below.
- You can ask to withdraw unused wallet money to a bank account in your company’s name. Withdrawals are checked and paid by our finance team, who record the bank reference when it’s sent. We may ask for proof the account is yours, and we can refuse a withdrawal where we suspect fraud or money we owe someone else is at stake.
- If we agree a credit limit with you, you must pay the invoices it creates by their due date.
5. Budgets, launch and approvals
- When you launch a campaign, its whole budget is locked from the wallet: the creator pay plus the processing fee. Locked money can only be spent on that campaign. If the wallet is short, you’re asked to top up before it goes live.
- Your workspace can set approval rules (for example, launches over an amount need finance) and spend limits per person. A campaign that needs approval waits until it’s approved. You’re responsible for setting these up the way your company needs.
- You can add budget to a running campaign. Offers to creators can’t exceed what’s left in the budget.
- When a campaign ends (it reaches its target, its end date, or you end it), unspent budget and its unspent fee go back to your wallet, and you get a statement showing what was locked, spent per creator, the fee and what came back.
- Money already earned by creators (milestones passed, deliveries approved) is not returned.
6. Prices and fees
- Views and clipping campaigns are priced per 1,000 verified views at the rate shown before you launch. The smallest campaign is ₦250,000. The published rates are on our pricing page.
- Collabs, UGC and paid seeding: you pay the agreed creator fee plus a 10% processing fee on top. Creators pay their own 5% processing fee from their side. The fee is shown on the review screen, offers and invoices.
- Affiliate commission is set by you per campaign. Flendy keeps 20% of the commission you pay. Ad codes have the bonus and spend share shown when you request them.
- The fees in force when a campaign launches apply to that campaign for its whole life. We may agree a different processing fee with your workspace in writing. We’ll give you at least 30 days’ notice of a change to our standard fees.
Invoices and tax
Prices are in naira and exclude VAT unless shown otherwise. Where VAT or another tax applies to our fees, we’ll add it at the legal rate and show it on the invoice. You can add your legal name, address, tax ID and purchase order details in billing settings, and they’ll appear on invoices and statements. If the law requires you to withhold tax on a payment to us, tell us first so we can issue the right documents.
7. Verified views
A verified view is a view the platform reports for a post from a creator’s connected account that has passed our checks. We read views on a schedule and pay creators each time a post’s verified views pass a milestone (1K, 5K, 10K and up). We never pay, or charge you, for views past a milestone that hasn’t been reached, or past the campaign’s target or a creator’s cap. Our method is published at flendy.co/verified.
- Your dashboard shows verified views beside total views for every post. Our count of verified views is what you’re billed on.
- If views are found to be fake while the creator’s earnings are on hold, we reverse the creator’s earnings on them and the money goes back to your campaign budget, or your wallet if the campaign has ended.
- Platforms can change or delay their numbers. “Too early to tell” is a real state, and we don’t estimate views to fill gaps.
8. Deals, deliveries and approval
- For collabs, UGC and seeding you make an offer, the creator can accept, counter or decline, and an accepted offer is a deal between you and the creator on the terms shown (deliverables, dates, fee, usage rights and revisions).
- When the creator delivers, you approve it or ask for changes, within the revisions agreed. Approving releases the fee to the creator; it can’t be undone except for fraud. If a campaign doesn’t need approval, the fee is released when the creator posts.
- Review deliveries promptly and give feedback that matches the brief. Don’t withhold approval for work that meets what was agreed.
- If something goes wrong, either side can ask us for help from the deal. We’ll look at the brief, the messages and the content and decide fairly, which may mean releasing, splitting or returning the fee.
- For seeding, you’re responsible for sending the product to the address the creator gives you, and for the product being safe and as described.
9. Content and usage rights
- Creators own what they make. Unless a deal says otherwise, for campaign posts on the creator’s account you and Flendy may share, embed and link to the post, and show it in reports, for 12 months.
- UGC: when you approve a UGC delivery you get a non-exclusive licence to use it in your own channels and paid ads for the usage period on the deal. After that you must stop running it in new ads unless you agree an extension with the creator.
- Running a creator’s own post as an ad needs their ad code through whitelisting, for the duration they grant (7, 30, 60 or 365 days).
- You give us and the creators you work with a licence to use your name, logo, products and the materials you upload, only to run your campaigns and show them in your account. You confirm you have the rights to everything you upload.
- We may show your brand name and campaign results in anonymised or aggregate form, and as a customer example only with your permission.
10. Advertising standards and disclosure
You’re the advertiser, and you’re responsible for your briefs, product claims and offers. In particular you must:
- comply with the Advertising Regulatory Council of Nigeria (ARCON) Act 2022 and its code, the Federal Competition and Consumer Protection Act 2018, and the advertising rules of any other country you target;
- get any approval the law needs before content runs, including ARCON vetting and, for regulated products (alcohol, financial products, betting, medicines, food and supplements), the relevant regulator’s approval;
- only ask creators to make claims you can prove;
- let creators label paid and gifted content clearly, as described in our disclosure guidelines, and never ask them to hide it;
- not run campaigns for anything the acceptable use policy prohibits.
We may decline, pause or end a campaign that we think breaks these rules.
11. Creator data and contact
- Creator profiles, stats and contact through Flendy are for finding and working with creators on Flendy. Don’t copy creator data out in bulk or use it for anything else.
- You only see a creator’s phone, email or address when they’re in a deal with you and it’s needed (for example a delivery address for seeding).
- When you import a list of creators, you confirm you have the right to share it with us, and that we may add those creators to Flendy’s creator index and contact them as described in the privacy policy.
- Don’t contact or pay a creator you found on Flendy outside Flendy for the same work for 12 months after you were introduced, unless you pay us the fee we would have earned.
- If you’d like a data processing agreement for your company, email privacy@flendy.co.
12. Suspension and ending
- You can stop using Flendy at any time. Ending a live campaign returns its unspent budget to your wallet; you can then withdraw it.
- We may suspend or close an account, or pause a campaign, if you break these terms, don’t pay what you owe, we suspect fraud, or the law requires it. We’ll tell you why unless we’re not allowed to.
- If we close your account without cause, we’ll return your wallet balance less anything owed to creators or us.
- Sections on fees owed, content rights already granted, liability and disputes continue after the account ends.
13. Our responsibility to you
- We provide Flendy with reasonable skill and care. We can’t promise any result beyond verified views delivered, such as sales, sign-ups or a creator’s performance, and we don’t control the platforms or their numbers.
- Flendy isn’t responsible for what creators say or do outside the agreed work, though we’ll act on breaches of our rules.
- We’re not liable for indirect or consequential loss, or for loss of profit, revenue, goodwill or data, or for outages of the platforms, Paystack or other services we rely on.
- Our total liability to you for all claims in any 12 months is limited to the processing fees you paid us in those 12 months, plus any wallet balance or locked budget we failed to return when we should have.
- Nothing in these terms limits liability for fraud, death or personal injury caused by negligence, or anything else the law doesn’t allow us to limit.
You’ll compensate us for losses from claims by others caused by your briefs, materials, products or claims, or your breach of advertising law or these terms.
14. Complaints and disputes
- Tell us first at hello@flendy.co. We’ll reply within 5 working days and try to resolve it within 30 days.
- If we can’t agree, either side may refer the dispute to mediation in Lagos before going to court. Nothing stops either side seeking urgent relief from a court.
- These terms are governed by the laws of the Federal Republic of Nigeria. The courts of Lagos State have jurisdiction. If you’re a consumer elsewhere, you keep any rights your local law gives you.
15. Changes and general terms
- We may update these terms. For material changes we’ll email account owners at least 30 days before they apply; campaigns already live keep the terms and fees they launched with. If you keep using Flendy after a change, you accept it.
- You can’t transfer these terms without our written agreement. We may transfer them to a company that takes over Flendy, and will tell you.
- If part of these terms is found unenforceable, the rest still applies. A signed agreement with your company wins over these terms where they differ.
- Notices to us go to hello@flendy.co; notices to you go to your account email.
